Our Data Privacy Philosophy
We're a small team of people who, like you, have been burned by too many companies that farm our data or use it improperly. When we set out to build Sol, we decided to approach things differently. We don't sell your personal data as a source of revenue, and we take care in overseeing how your data is accessed and what it's used for. In short - we treat your data the way we'd want someone to treat our own data.
Sol's data privacy philosophy is to only collect & share the information needed to operate our service. We've designed our product from the ground up with privacy in mind. For example:
- We don't require full names to register on our platform
- When you sync your phone contacts to invite friends to events, we only store the contacts you're inviting, not your whole address book
- By default, we don't share your phone number or email with other users
- We don't allow your personal data to be used for purposes unrelated to our platform, unless you explicitly consent
- We've built robust blocking tools designed to prevent anyone you don't want from contacting you
- We don't subscribe you to a marketing list when you sign up
- We don't sell your personal data as a source of revenue

What information do we collect?
Personal information you disclose to us
In Short: We collect personal information that you provide to us.
We collect personal information that you voluntarily provide to us when you register on the Services, express an interest in obtaining information about us or our products and Services, when you participate in activities on the Services, or otherwise when you contact us.
The personal information we collect may include the following:
- App and Services usage
- Phone number
- Name(s)
- Contact book information if you give us permission to sync your device's contact book
- Birthdate, which you can choose to provide during account creation (note: while we may share your birthday with other users, we will not share your birthyear with them)
- Social media handles
- Other information you may choose to provide to hosts' event questionnaires
Personal information provided by others
In Short: We may receive your personal information from other users.
We may receive limited personal information about you from other users of the Services. Just as you may provide information about your contacts when you sync your device's contact book, others may provide this information about you when they do the same.
Information automatically collected
In Short: Some information - such as your Internet Protocol (IP) address and/or browser and device characteristics - is collected automatically when you use our Services.
We automatically collect certain information when you visit, use, or navigate the Services. This information does not reveal your specific identity but may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Services, and other technical information.
The information we collect includes:
- Log and Usage Data: Service-related, diagnostic, usage, and performance information our servers automatically collect when you access or use our Services.
- Device Data: Information about your computer, phone, tablet, or other device you use to access the Services.
- Location Data: Information about your device's location, which can be either precise or imprecise. You can opt out of allowing us to collect this information by disabling your Location setting on your device.
Session replay technologies
In Short: We use session replay technologies on our Services to improve usability.
We use services provided by our third-party service providers that employ cookies and local storage technologies to record and allow us to review replays of user sessions. These replays help us diagnose usability problems and identify areas for improvement.

- To operate and administer our Services: Including to facilitate account creation, authentication maintenance, and to otherwise manage user accounts.

- To improve, monitor, personalize, and protect our Services: Understanding your needs and interests, troubleshooting, testing and research, and investigating and protecting against fraudulent, harmful, unauthorized, or illegal activity.
- For marketing and advertising: As permitted by law. You may opt out of our marketing communications. We do not sell your personal information.
- To measure the effectiveness of advertising campaigns to promote our Services.
- For compliance and protection: To comply with legal obligations, defend against legal claims, enforce terms and conditions, and prevent fraudulent or illegal activity.
- For research and development: We may create and use de-identified information to analyze the effectiveness of our Services and to improve and add features.

Vendors, Consultants, and Other Third-Party Service Providers: We may disclose personal information to third parties who perform services for us or on our behalf. We have contracts in place with our third parties, which are designed to help safeguard your personal information.

Professional advisors: We may disclose personal information to professional advisors, such as lawyers, auditors, bankers, and insurers, where necessary.
Authorities and others: We may disclose personal information to law enforcement, government authorities, and private parties, when required to by law.
Business Transfers: We may disclose or transfer your information in connection with a merger or sale of our business, including during due diligence.
How do we display personal information?
In Short: Your public profile information, which is customizable, is available to other users on the platform.
Your public profile is configurable by you. The profile contains a name, and optionally includes other information such as a profile picture, birthday, and how you like to spend your time. This public profile is available to be viewed by other users on the platform.
Your phone number is only visible to you and is never displayed to other users, unless you explicitly disclose it.
Hosts have the option to add a questionnaire for attendees to fill out when RSVPing to an event; answers provided by you will be disclosed to the host(s). Vibe hangout invitees are able to vote and add hangout ideas when they join a vibe. Answers and votes provided by you will be disclosed to the creator/host(s).
In some cases, hosts are event sponsors or marketing partners - if you choose to Join their events, you will disclose your public profile and any votes or ideas you choose to provide. The Terms of Service prohibit our creators/hosts, event sponsors and marketing partners from downloading any information from Sol for marketing purposes, or contacting users outside our platform.
How long do we keep your information?
In Short: We keep your information for as long as necessary to fulfill the purposes outlined in this privacy notice unless otherwise required by law.
Where required under applicable laws, we retain personal information only for as long as is necessary to fulfill the purposes for which it was collected and processed, in accordance with applicable laws and regulatory obligations or until you withdraw your consent (where applicable).
How do we protect personal information?
In Short: We aim to protect your personal information through a system of organizational and technical security measures.
We have implemented technical and organizational security measures designed to protect the security of any personal information we process. However, despite our safeguards and efforts to secure your information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure. Transmission of personal information to and from our Services is at your own risk.
Do we collect information from minors?
In Short: We do not knowingly collect data from or market to children under 18 years of age.
We do not knowingly solicit data from or market to children under 18 years of age. By using the Services, you represent that you are at least 18. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records.

Managing your account
If you would at any time like to review or change the information in your account or terminate your account, you can do so through the app settings.
Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. However, we may retain some information in our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce our legal terms, and/or comply with applicable legal requirements.
Your privacy rights and choices
Depending on your location and the nature of your interactions with our Services, you may request the following in relation to personal information:
- Information about how we have collected and used personal information
- Access to a copy of the personal information that we have collected about you
- Correction of personal information that is inaccurate or out of date
- Deletion of personal information that we no longer need
- Withdrawal of consent, where we have collected and processed your personal information with your consent
- Additional rights, such as to object to and request that we restrict our use of personal information

Opt out of marketing communications
You may respond "STOP" to any Sol text message to stop receiving all text messages from Sol.
Adjust contact book preferences
You can revoke Sol's access to your contact book by adjusting your device settings.
Opt out of receiving invitations
Past creators/hosts and mutuals may send you invitations to other events via Sol, unless you have opted out. If you receive an invitation, you may respond "STOP" to the text message to stop receiving future invitations from that host or mutual. You may mute, block, or remove visibility for specific users as needed. Each of these actions are reversible.
Online tracking opt-out
There are a number of ways to opt out of having your online activity and device data collected:
- Opt out of third-party cookies as described in our Cookie Policy
- Block cookies in your browser settings
- Use privacy plug-ins or browsers like Brave, Privacy Badger, DuckDuckGo, Ghostery, or uBlock Origin
International Data Transfers
You will provide personal information directly to our Services in the United States. We may also transfer personal information to our affiliates and service providers in the United States and/or other jurisdictions.
When we engage in cross-border data transfers, we will ensure that relevant safeguards are in place to afford adequate protection for personal information, and we will comply with applicable data protection laws.
Controls for Do-Not-Track Features
Most web browsers and some mobile operating systems include a Do-Not-Track ("DNT") feature or setting. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.
Do we make updates to this notice?
Yes, we will update this notice as necessary to stay compliant with relevant laws. The updated version will be indicated by an updated "Revised" date. If we make material changes to this privacy notice, we may notify you either by prominently posting a notice of such changes or by directly sending you a notification.

Acceptance of These Terms of Service
Sol Together, Inc. ("Sol," "we," "us," or "our") provides our services through our website(s) located at https://www.soltimetogether.com/ (the "Site") and through our mobile applications and related technologies (collectively, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service.
By accessing, browsing, or otherwise using the Site, Mobile Apps, or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these terms, you will not access, browse, or otherwise use the Service.
We reserve the right to change or modify portions of these Terms of Service at any time. We will post changes on this page and indicate the date these Terms of Service were last revised. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They contain an agreement to arbitrate and other important information regarding your legal rights, remedies, and obligations. The agreement to arbitrate requires (with limited exception) that you submit claims you have against us to binding and final arbitration, and further:
- You will only be permitted to pursue claims against Sol on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding
- You will only be permitted to seek relief on an individual basis
- You may not be able to have any claims you have against us resolved by a jury or in a court of law

Additional Terms: You may be subject to additional terms posted on or within the Service from time to time, such as our Community Guidelines. All such terms are hereby incorporated by reference into these Terms of Service.
Access and Use of the Service
Service Description
The Service is designed to provide a platform for users to coordinate, plan, and engage with attendees of social events.
Your Registration Obligations
You are required to register with Sol in order to access and use certain features of the Service. If you choose to register for the Service, you must provide a valid cell phone number. We will send a verification code to your number and you will be required to enter that verification code to complete registration. You may not share the verification code with any other person.
If you are under 18 years of age, you are not authorized to use the Service, with or without registering.
Text Messaging
By using the Service, you are consenting to be contacted by Sol or its affiliates or partners by text message, SMS and/or MMS message for marketing, solicitation, informational or other purposes. In the event you no longer wish to receive such text messages, you can reply to any message by texting "STOP" to cancel or "HELP" for customer support information.
Message frequency varies based on event activity. There is no additional charge for telephonic communications, but your carrier's standard message and data rates apply.
General Practices Regarding Use and Storage
You acknowledge that Sol may establish general practices and limits concerning use of the Service, including the maximum period of time that data or other content will be retained by the Service. You agree that Sol has no responsibility or liability for the deletion or failure to store any data or other content. Sol reserves the right to terminate accounts that are inactive for an extended period of time and to change these general practices and limits at any time.
Beta Features
Certain Service features may be offered while still in "beta" form. By using any Beta Features, you understand and acknowledge that the Beta Features are being provided as a "beta" version. Your access and use of the Beta Features shall be on an "AS IS" and "AS AVAILABLE" basis without warranty of any kind. You assume all risks and all costs associated with your use of the Beta Features.
Conditions of Access and Use
User Conduct
You are solely responsible for all content that you make available to Sol, including by uploading, posting, publishing, voting and adding ideas to a creator/host's hangout, or displaying via the Service ("User Content"). Sol reserves the right to investigate and take appropriate legal action against anyone who violates these provisions.
You agree to not use the Service to:
- Upload content that infringes intellectual property rights, publicity rights, or privacy rights
- Upload content containing software viruses or malicious code
- Upload unsolicited advertising, spam, or promotional materials
- Upload illegal content, including messages related to cannabis or prescription medications that cannot legally be sold over-the-counter
- Upload harmful, threatening, false, misleading, fraudulent, abusive, harassing, defamatory, vulgar, obscene, or discriminatory content
- Interfere with or disrupt the Service or connected networks
- Violate any applicable local, state, national, or international law
- Impersonate any person or entity
- Solicit personal information from anyone under the age of 18
- Download or make copies of other users' information to contact them outside the Service
- Advertise or offer to sell goods or services without authorization
- Further or promote any criminal activity
- Circumvent, remove, alter, or deactivate any content protections or platform restrictions
- Engage in data mining, scraping, or similar data gathering methods
Competitors
No employee, independent contractor, agent, or affiliate of any competing event planning platform company is permitted to view, access, or use any portion of the Service without express written permission from Sol.
Commercial Use
Unless specifically authorized by Sol in writing, you agree the Service is only for your personal use and you will not use or exploit any portion of the Service for any commercial purposes.
Mobile Services and Software
Mobile Services
The Service includes certain services available via a mobile device. Your wireless service carrier's standard charges, data rates, and other fees may apply.
Mobile App License
Subject to these Terms of Service, Sol grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install the Mobile App on one mobile device and use the Mobile App for your own personal use solely to access and use the Service.
Ownership; Restrictions
The technology and software underlying the Service are the property of Sol, its affiliates, and its licensors. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software.
Special Notice for International Use
Sol is headquartered in the United States. You are solely responsible for ensuring compliance with the laws of your specific jurisdiction. Software available in connection with the Service is subject to United States export controls.
Intellectual Property Rights
Service Content
You acknowledge and agree that the Service may contain content or features that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by Sol, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Service Content.
Trademarks
The Sol name and logos are trademarks and service marks of Sol. Nothing in these Terms of Service should be construed as granting any license or right to use any of Sol's Trademarks without our prior written permission.
Third-Party Material
Under no circumstances will Sol be liable in any way for any content or materials of any third parties (including users). Sol does not pre-screen content, but Sol and its designees will have the right (but not the obligation) to refuse or remove any content that is available via the Service.
User Content
You represent and warrant that you own all right, title and interest in your User Content. You hereby grant Sol a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to copy, display, upload, perform, distribute, store, modify, and otherwise use your User Content in connection with the operation of the Service.
Any questions, comments, suggestions, ideas, feedback, or other information about the Service ("Submissions") provided by you to Sol are non-confidential and Sol will be entitled to the unrestricted use and dissemination of these Submissions for any purpose.
Copyright Complaints
Sol respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, you should notify Sol of your infringement claim by emailing help@soltimetogether.com (Subject line: "DMCA Takedown Request").
To be effective, the notification must contain:
- A physical or electronic signature of a person authorized to act on behalf of the owner
- Identification of the copyrighted work that you claim has been infringed
- Identification of the content that is claimed to be infringing and where it is located on the Service
- Your address, telephone number, and email address
- A statement that you have a good faith belief that the disputed use is not authorized
- A statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner
Third-Party Services and Websites
The Service may provide links or other access to services, sites, technology, and resources provided by third parties ("Third-Party Services"). Your access and use of Third-Party Services may be subject to additional terms and conditions with such third party.
Sol has no control over and is not responsible for Third-Party Services. Sol enables these Third-Party Services merely as a convenience and the integration does not imply an endorsement or recommendation. Sol will not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any Third-Party Services.
Indemnification
To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Sol, its affiliates, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the "Sol Parties") from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind, and injury arising out of or relating to your use of the Service, any User Content, your connection to the Service, your violation of these Terms of Service, or your violation of any rights of another.
Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SOL PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Sol Parties make no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that results obtained will be accurate or reliable.
Limitation of Liability
THE SOL PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS. This includes damages resulting from the use or inability to use the Service, unauthorized access to your data, statements or conduct of any third party, personal injury or property damage, or any other matter relating to the Service.
In no event will the Sol Parties' total liability exceed the amount you have paid Sol in the last six (6) months, or, if greater, one hundred dollars ($100).
Some jurisdictions do not allow the disclaimer or exclusion of certain warranties or the limitation of liability. Accordingly, some of the above limitations may not apply to you.
Dispute Resolution By Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
Agreement to Arbitrate
You agree that any and all disputes or claims that have arisen or may arise between you and Sol will be resolved exclusively through final and binding arbitration, rather than a court, except that you may assert individual claims in small claims court. You agree that by entering into these Terms of Service, you and Sol are each waiving the right to a trial by jury or to participate in a class action.
Prohibition of Class and Representative Actions
YOU AND SOL AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
Pre-Arbitration Dispute Resolution
A party who intends to seek arbitration must first send a written Notice of Dispute to the other. The Notice to Sol should be sent to Sol Together Inc., 3245 Geary Boulevard, P.O. Box 591377, San Francisco, CA 94118. The Notice must describe the nature and basis of the claim and set forth the specific relief sought. If we do not resolve the claim within sixty (60) calendar days after the Notice is received, either party may commence an arbitration proceeding.
Arbitration Procedures
Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's ("AAA") rules and procedures. Unless both parties agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties.
Costs of Arbitration
Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. If you are able to demonstrate that you are economically unable to pay your portion of such fees, Sol will pay your portion.
Confidentiality
All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
Severability
If a court or the arbitrator decides that any term or provision of this Arbitration Agreement is invalid or unenforceable, the parties agree to replace such term with a valid and enforceable term that comes closest to expressing the intention of the invalid term.
Future Changes to Arbitration Agreement
If Sol makes any future change to this Arbitration Agreement while you are a user of the Service, you may reject any such change by sending Sol written notice within thirty (30) calendar days of the change.
Termination
You agree that Sol, in its sole discretion, may suspend or terminate your account or use of the Service for any reason, including for lack of use or if Sol believes that you have violated these Terms of Service. Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities. Sol may also discontinue providing the Service at any time with or without notice.
You agree that any termination of your access to the Service may be effected without prior notice, and Sol may immediately deactivate or delete your account and all related information. Sol will not be liable to you or any third party for any termination of your access to the Service.
User Disputes
You agree that you are solely responsible for your interactions with any other user in connection with the Service, and Sol will have no liability or responsibility with respect thereto. Sol reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Service.
General
These Terms of Service (together with the terms incorporated by reference herein) constitute the entire agreement between you and Sol governing your access and use of the Service. These Terms of Service will be governed by the laws of the State of New York without regard to its conflict of law provisions.
With respect to any disputes or claims not subject to arbitration, you and Sol submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States, New York.
You agree that any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim arose or be forever barred.
You may not assign these Terms of Service without the prior written consent of Sol, but Sol may assign or transfer these Terms of Service without restriction.
